Terms of Service
These terms govern your use of MarkupProof — the application, markupproof.com and our text-message program — operated by Farris Wheel Ventures LLC ("we", "us"). By creating an account or using the service you agree to them.
The service
MarkupProof helps contractors build construction estimates, generate proposals, and sync them with connected tools. Features change over time as we improve the product.
Your account
- You are responsible for your account credentials and for activity under your account.
- You must have the right to enter the information you put into the service, including your clients' details.
- You must be authorized to connect any third-party account you connect.
Your content is yours
You keep ownership of everything you put into MarkupProof — your estimates, pricing, catalog, photos and documents. You grant us only the permission needed to operate the service for you: to store your content, process it, send it where you direct, and share it with the providers listed in our Privacy Policy.
AI output is a draft, and you are responsible for what you send
MarkupProof uses AI to help produce estimates, pricing suggestions, scope text and proposals. AI can be wrong. Every number, quantity and scope line is a draft for you to check. You are the contractor of record: you are responsible for reviewing an estimate before you send it, for the prices you quote, and for the contracts you sign. We are not responsible for a bid that was underpriced, a scope that was incomplete, or a document sent without review.
Connected services
Integrations depend on third parties whose availability and behavior we do not control. If a connected service changes or goes down, parts of MarkupProof may stop working. We are not responsible for what those services do with data once you direct us to send it to them.
Billing
Paid plans are billed in advance through Stripe on the interval shown at checkout, and renew until cancelled. You can cancel your plan at any time and keep access through the end of the paid period. Closing your account is different: it cancels the plan immediately, access ends that day, and the rest of the period is not refunded. Fees already paid are non-refundable except where required by law. Prices shown on markupproof.com can change; what you pay is what you agree to at checkout.
Our website and demos
markupproof.com describes what MarkupProof does. We try to keep it accurate, but nothing on it is a warranty, a guarantee of a particular result, or a contract to supply anything. Booking a demo costs nothing and commits you to nothing. Give us real contact details so we can reach you; you can cancel or reschedule from the link in your confirmation.
Text messages (SMS program)
- Program. MarkupProof sends demo confirmations, reminders and short follow-up messages to people who book a demo and opt in.
- How you opt in. By ticking the consent box on the demo booking form and giving us your mobile number. We do not text people who have not done that.
- Message frequency. Varies — typically a few messages around a single booking.
- Cost. Message and data rates may apply, depending on your carrier and plan.
- To stop. Reply STOP to any message. You will get one confirmation and then nothing further.
- For help. Reply HELP, or email support@markupproof.com.
- Carriers are not liable for delayed or undelivered messages.
- See our Privacy Policy for what we do with your number. We do not sell or share mobile information with third parties or affiliates for marketing or promotional purposes.
Acceptable use
- Do not use the service to break the law or infringe anyone's rights.
- Do not attempt to access another organization's data, or to disrupt or probe the service.
- Do not upload malware, or content you have no right to upload.
- Do not attempt to break, overload or scrape the service or markupproof.com at scale.
- Do not submit someone else's contact details as your own.
Our software and content
The MarkupProof software, name and logo, and the copy and screenshots on markupproof.com, belong to us. You are welcome to link to the site or quote it with attribution; please do not republish it as your own.
Availability
We work to keep MarkupProof available, but we do not offer a guaranteed uptime commitment. We may change, suspend or discontinue features, and will give reasonable notice of significant changes where we can.
Disclaimer and limitation of liability
The service is provided "as is", without warranties of any kind to the fullest extent permitted by law. To the extent permitted by law, our total liability arising from the service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect or consequential losses, including lost profits or lost business. Nothing in these terms limits liability that cannot lawfully be limited.
Termination
You may stop using the service and close your account at any time. Closing it cancels any paid plan immediately, without a refund for the rest of the period (see Billing). We may suspend or terminate an account that breaches these terms or that we are required to act on. You can request an export of your data before or shortly after closure.
Governing law
These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-law rules.
Changes to these terms
We may update these terms; the date at the top shows when. Continuing to use the service after a change means you accept the updated terms.
